Раньше до 2016 года учредители некоммерческих организаций не имели возможности выходить из состава учредителей таких организаций. После вступления в силу поправок в законодательство о некоммерческих организациях, учредители (участники) некоммерческих корпораций, а также учредители фондов и автономных некоммерческих организаций получили право выходить из состава учредителей или участников НКО (Федеральный закон от 12 января 1996 г. № 7-ФЗ в редакции Федерального закона от 31 января 2016 г. № 7-ФЗ). Сделать это можно в любое время и без согласия остальных учредителей или участников. Для выхода из состава учредителей, нужно направить в соответствии с законодательством о регистрации юрлиц и предпринимателей сведения о своем выходе в регистрирующий орган. Заявление направляется п форме № Р14001 лично, в электронном виде или по почте (п. 2.2 ст. 17, ст. 9 Федерального закона от 8 августа 2001 г. № 129-ФЗ). При этом стоит учесть, что если выходит последний или единственный учредитель общества, то он обязан до направления сведений о своем выходе передать свои права учредителя или участника другому лицу.

Права и обязанности учредителя прекращаются со дня внесения соответствующих изменений в ЕГРЮЛ. Вышедший из состава учредитель обязан направить уведомление об этом соответствующему юрлицу в день направления сведений о своем выходе из состава учредителей (участников) в регистрирующий орган. ФНС России обращает внимание, что данное правило не распространяется на религиозные организации. Их учредители сохраняют свой статус в качестве учредителей таких организаций.
