Эмитенты ценных бумаг смогут раскрывать или предоставлять информацию, подлежащую раскрытию в ограниченных составе и объеме, в частности, в случаях, если такое раскрытие информации о лице, в отношении которого действуют иностранные санкции, приведут или могут привести к введению новых мер ограничительного характера, а также в ситуациях, когда в отношении них уже действуют иностранные санкции (постановление Правительства РФ от 4 апреля 2019 г. № 400 «Об особенностях раскрытия и предоставления информации, подлежащей раскрытию и предоставлению в соответствии с требованиями Федерального закона «Об акционерных обществах» и Федерального закона «О рынке ценных бумаг»1).
Также это право появится у кредитных организацией, отнесенных к категории уполномоченных банков в соответствии с Федеральным законом от 29 декабря 2012 г. № 275-ФЗ «О государственном оборонном заказе». Кроме того, предоставить лишь часть обязательной информации можно будет в отношении сделки, связанной с выполнением государственного оборонного заказа и реализацией военнотехнического сотрудничества.
Помимо этого кабмин определил закрытый перечень информации, которую эмитенты ценных бумаг вправе не раскрывать, а также лиц, о которых она может не сообщаться. В него вошли сведения о (об):
лицах, входящих в состав органов контроля за финансово-хозяйственной деятельностью эмитента; сделках эмитента, его контролирующих лиц, подконтрольных ему лиц; банковских группах, банковских холдингах, холдингах и ассоциациях, в которые входит эмитент, а также их членах; участниках (акционерах) эмитента; номинальных держателях ценных бумаг эмитента; связанных сторонах, с которыми эмитентом осуществляются хозяйственные операции; финансовых вложениях эмитента; споре, связанном с созданием эмитента, управлением им или участием в нем и т. д. C примерной формой запроса юрлица учредителю, участнику или иному контролирующему его лицу о предоставлении информации, необходимой для установления бенефициарных владельцев, подготовленной экспертами компании «Гарант», можно ознакомиться в интернет-версии системы ГАРАНТ.
