В рассмотренном случае в уставе общества не указан его адрес с детализацией до номера офиса. Но отсутствие таких сведений в уставе, не влечет необходимость его изменения в связи с внесением в ЕГРЮЛ уточнения сведений об адресе, включающего номер офиса. К такому заключению пришли эксперты службы Правового консалтинга «Гарант».
Специалисты поясняют, что вносить изменения в устав юрлица не требуется, если у него поменялся адрес в пределах его места нахождения, и в связи с этим была уточнена информация об адресе юридического лица в ЕГРЮЛ, если только иное прямо не предусмотрено учредительными документами организации (п. 10 постановления Пленума ВАС РФ от 30 июля 2013 г. № 61, постановление Арбитражного суда Уральского округа от 27 сентября 2016 г. № Ф 09-8748/16).
Это объясняется тем, что закон связывает правовые последствия в отношениях юридического лица с иными лицами с наличием сведений об адресе этого юридического лица в ЕГРЮЛ, но не в уставе (п. 2 ст. 51 Гражданского кодекса, подп. «в» п. 1 ст. 5, п. 1 ст. 6 Федерального закона от 8 августа 2001 г. № 129-ФЗ «О государственной регистрации юридических лиц и индивидуальных предпринимателей»).

При этом эксперты отмечают, что в правоприменительной практике существует позиция, согласно которой в случае, если в учредительных документах юрлица указано не только место его нахождения (наименование населенного пункта), но детальный адрес с указанием улицы, номера дома и т. д., то при изменении такого конкретного адреса, помимо изменения сведений, содержащихся в ЕГРЮЛ, требуется внести изменения и в учредительные документы (постановление Тринадцатого арбитражного апелляционного суда от 21 сентября 2015 г. № 13АП-19344/15).
